Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the services, websites, applications, and platforms (collectively, the “Services”) provided by Trend-Pact PTE LTD (“we”, “our”, “us”). By accessing or using our Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

You represent that you are of legal age to form a binding contract. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to “you” and “your” in these Terms will refer to both you and that organization.

2. Changes to Terms or Services

We reserve the right to modify or update these Terms at any time, at our sole discretion. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the “Effective Date” at the top of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the amended Terms, you must stop using the Services.

We may also change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

3. Privacy Policy

Our Privacy Policy, available at/privacy-policy, describes how we collect, use, and disclose information about you. By using our Services, you agree that we can use such information in accordance with our Privacy Policy.

4. User Accounts and Registration

To access certain features of our Services, you may be required to register for an account. If you register for an account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately if you discover or otherwise suspect any security breaches related to the Services or your account.

You are responsible for all activities that occur under your account, whether or not you know about them.

5. User Content

Our Services may allow you to create, upload, post, send, receive, and store content, such as text, images, videos, and other materials (“User Content”). You retain all rights in, and are solely responsible for, the User Content you post through our Services.

By making any User Content available through the Services, you grant to us a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services and content to you and to other users.

You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant us the rights in such User Content as contemplated under these Terms; and (ii.ii) neither the User Content, nor your posting, uploading, publication, submission, or transmittal of the User Content or our use of the User Content (or any portion thereof) will infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
  • Violate or encourage others to violate the rights of third parties, including intellectual property rights.
  • Post, upload, or distribute any User Content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
  • Interfere with security-related features of the Services, including by disabling or circumventing features that prevent or limit use or copying of any content.
  • Interfere with the operation of the Services or any user’s enjoyment of the Services, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code.
  • Perform any fraudulent activity including impersonating any person or entity, claiming false affiliations, accessing the accounts of others without permission, or falsifying your age or date of birth.
  • Sell or otherwise transfer the access granted herein or any Materials (as defined below) or any right or ability to view, access, or use any Materials.
  • Attempt to do any of the acts described in this Section 6, or assist or permit any person in engaging in any of the acts described in this Section 6.

7. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) (collectively, the “Materials”) are owned by Trend-Pact PTE LTD, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only, or legitimate business purposes related to your role as a customer of our Services. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use (or legitimate business use) and not for further reproduction, publication, or distribution.

If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use (or legitimate business use), provided you agree to be bound by our end user license agreement for such applications.

You must not:

  • Modify copies of any materials from the Services.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

8. Third-Party Services and Links

Our Services may contain links to third-party websites, applications, services, or resources that are not owned or controlled by us. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those resources or links displayed on such sites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party resources.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY MATERIALS OR CONTENT OBTAINED THROUGH THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE ANY PORTION OF THE SERVICES OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US FOR ACCESS TO AND USE OF THE SERVICES IN THE 12 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO SUCH CLAIMS; OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE ANY PORTION OF THE SERVICES OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US FOR ACCESS TO AND USE OF THE SERVICES IN THE 12 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO SUCH CLAIMS; OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Trend-Pact PTE LTD and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from (i) your User Content; (ii) your use of, or inability to use, the Services; (iii) your violation of these Terms; (iv) your violation of any rights of another party, including any intellectual property rights; or (v) your violation of any applicable laws, regulations, or rules.

12. Governing Law and Dispute Resolution

These Terms and any action related thereto will be governed by the laws of Singapore without regard to its conflict of laws provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.

The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

13. General Terms

These Terms constitute the entire and exclusive understanding and agreement between Trend-Pact PTE LTD and you regarding the Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Trend-Pact PTE LTD and you regarding the Services.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. We may freely assign or transfer these Terms without restriction.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Trend-Pact PTE LTD.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
